Sometimes things have to be done quickly – quick start-ups made easy
Founding a company with the SiBa business law firm
A presentation in interview form
Ms. Sieker, you are the managing director of SiBa-Wirtschaftskanzlei GmbH. How can I imagine your service and what is special about it?
Well, if you have a business idea today and want to implement it as quickly as possible, you have a lot of bureaucracy ahead of you to create the legal framework for it. At least if you want to start with a corporation, e.g. in the form of a GmbH, which is the most common and usually the most sensible form.
How can you imagine that, what’s so complicated?
I can only go into a few details here, otherwise we’ll still be sitting here in two hours. First of all, you need a notary appointment for the foundation and the appointment of the managing director. For this alone, you will have to make a lot of phone calls and there won’t be one for weeks or months. To set up the company, you need to decide on the desired name and business purpose. This is where the first pitfalls lurk.
Then you need a bank account, which can take weeks at a branch bank. The company capital must be paid into the account. You send the bank statement to the notary, who then sends the incorporation documents to the commercial register. After days or weeks, you will receive a cost note to pay the fee.
Only when this has been booked and allocated (in Berlin another two weeks) will the documents be presented to a judge at the local court. If you are lucky, the judge will not find any formal errors and the company will be registered. Now you still need a tax number, possibly a VAT identification number and the business registration. Again, some formalities, with the risk of queries from the authorities.
When you hear that, you’re already demotivated before you can start with the actual business?
That’s right, many entrepreneurs often don’t have the time to wait that long. An offer often has to be sent out within days or an order is just around the corner.
And what are you now offering to improve this?
In short, we carry out the formation in advance and can simply sell you a GmbH or UG that has already been formed. This is called a shelf company.
That’s interesting, but your customer wants a customized name?
He can of course get it, and the name and business purpose can simply be changed when buying.
But doesn’t that all involve additional costs?
Yes, of course it does. But if you do it yourself, it costs your time and it takes far too long for many entrepreneurs. In these fast-moving times, it’s important to get up and running quickly. Your business is complicated enough anyway, so you shouldn’t bother with these tedious formalities.
Yes, that’s very easy to understand. Is that all you offer?
We also go much further than our competitors. Typically, they simply send you the documents and you can look for a notary yourself. And that is often not so easy. We, on the other hand, have pre-booked notary appointments that we attend together with our customers, i.e. we prepare all the paperwork, send it to the notary’s office and accompany you to the appointment.
That sounds really customer oriented.
We can also offer an office address for your company that you can use. So you can actually get started with your business after the notary appointment and don’t have to worry about renting an office.
That’s really cool and you offer this for the company headquarters in sought-after Berlin?
Yes, exactly. I would say: there’s no quicker or easier way to get your business off the ground.
Ms. Sieker, thank you very much for the really interesting interview.
