What makes a GmbH & Co. KG so interesting?
In the case of a GmbH & Co KG, the personally and unlimitedly liable partner (general partner) is a limited liability company (GmbH). The aim is to exclude or limit liability risks for the people behind the company.
In addition, the GmbH & Co KG offers tax advantages. It is treated as a partnership for tax purposes, which avoids taxation of profits at company level. The profit shares of the limited partners are subject to income tax if they are natural persons. Under certain conditions, losses can be offset against personal income tax.
The GmbH & Co. KG thus combines the advantages of a partnership with the limited liability of a GmbH.

Foundation
The establishment of a GmbH & Co. KG is very time-consuming, as two companies have to be established one after the other. First, the general partner GmbH is established. Only after this has been entered in the commercial register can the GmbH & Co. KG be established. This process can take between five and eight weeks.
If you buy a GmbH & Co. KG that has already been founded, you will save a lot of time and be able to act quickly without any personal liability risk.
Our GmbH & Co. KG is legally secure and fully founded and registered in the commercial register.
Commercial register
The registration of the general partner GmbH and the GmbH & Co. KG with the responsible local court in Germany has been completed and both are entered in the commercial register, all fees have been paid.
Bank account
Each general partner GmbH has a bank account containing the share capital of 25,000 Euro. You take over this account and can work with it immediately after the managing director takes over. All bank charges are paid by us. The completeness of the share capital is bindingly promised and proven at the notary appointment by the current bank account statement. The capital is fully available to the GmbH even after the takeover. The GmbH was not charged any costs, so the amount is unrestricted upon sale.
So you don’t have to worry about a bank account. If you want, you can of course change banks, but you don’t have to. This sets us apart from other providers who only offer procedures where you cannot take over the bank account and lose a lot of time setting up the account. A company without a bank account is not really able to act (more here).
The limited partnership capital of 100 Euro is fully paid into the cash register. The cash register is handed over upon purchase. We would also be happy to set up a separate bank account for the GmbH & Co. KG for you.
Freedom from encumbrances
The German shelf company GmbH & co. KG has not been active so far. Apart from the formalities of the establishment, it has not taken any action. There are therefore no legal issues (e.g. obligations) and it is completely unencumbered.
Tax office
The German tax office tax identification number has been requested at the tax office. After the purchase, the tax office will be informed of the new status of the GmbH & Co. KG and you will receive the activation of the so-called sales tax signal at short notice.
Notary appointment
At the notary appointment, you simultaneously acquire the shares in the general partner GmbH and the limited partner share in the KG in one transaction. You also change the managing director of the general partner GmbH and, if necessary, amend the articles of association of the GmbH and the GmbH & Co. KG to your requirements. The newly appointed managing director submits these changes for entry in the commercial register. You will receive the drafts of all these documents from the notary before the appointment.
As soon as the notary has submitted the application to the registry court, you are fully authorised to act with the GmbH & Co. KG without any personal liability risk.
The notarisation takes place within Germany at a notary of your choice or at one of our pre-booked notary appointments in Berlin. We will also be present in person at the appointment in Berlin to assist you and clarify any questions you may have. Seat and business address
The GmbH & Co. KG has its registered seat and its business address in Berlin. The business address can easily be changed at the notary appointment. This also applies to the registered seat.

On request with registered office in Berlin
A demanding business environment often requires an appropriate external presentation of your company. But you don’t have to rent an entire office right away. The GmbH shelf company was founded with a registered office in Berlin and has a Berlin business address (headquarters). If you wish, you can leave the company at its current address in Berlin for as long as you want. You simply conclude a lease agreement with us.
With this additional option, we offer you a fully-fledged business location (registered office) with extended service in Berlin:
- We offer you an address in a renowned, southern district of Berlin.
- The company is already entered in the Commercial Register at this address. A transfer to another district court is not necessary, so that valuable time is saved.
- Only a limited number of GmbH limited liability companies are registered at this address.
- Same is the registration with the tax office and trade office at this address.

- We receive your mail and forward it several times a week. Obviously important mail can also be scanned and transmitted electronically.
